ITF Therapeutics is seeking a General Counsel for the US operations and will be a key member of the leadership team. This role is responsible for overseeing all legal matters related to the company’s operations in the United States, ensuring compliance with federal and state regulations, managing risk, and advising on strategic business decisions. The U.S. General Counsel will also liaise with the legal team of the parent company in Europe to ensure alignment on global legal strategies and policies.

Key Responsibilities:

  • Legal Strategy and Leadership:
    • Develop and implement the legal strategy for the US operations.
    • Provide legal counsel to the executive team and the board of directors on all legal matters, including corporate governance, compliance, government relations and reporting, and contract negotiations.
    • Lead and manage the US legal department, including hiring, training, and mentoring legal staff.
  • Regulatory Compliance:
    • Ensure compliance with all applicable federal and state regulations.
    • Oversee the development and implementation of compliance programs and policies to mitigate legal risks and ensure adherence to industry standards.
    • Monitor changes in laws and regulations and advise the company on necessary actions to maintain compliance.
  • Contract Management:
    • Oversee the drafting, review, and negotiation of contracts, including supply agreements, licensing agreements, joint ventures, and other business transactions.
    • Ensure that all contracts protect the company’s interests and comply with applicable laws and regulations.
  • Risk Management:
    • Identify potential legal risks and develop strategies to mitigate them.
    • Manage litigation and disputes, including working with external counsel as needed.
    • Advise on risk management strategies related to product liability, intellectual property, and other areas of concern.
    • Corporate Governance:
      • Provide legal support for corporate governance activities, including board meetings.
      • Ensure that corporate governance practices are in line with US and international standards.
    • Liaison with Parent Company:
      • Collaborate closely with the legal team in the Parent Company to ensure consistency in legal strategies and policies across the global organization.
    • Ethics and Compliance:
      • Promote a culture of ethics and compliance within the company.
      • Ensure that the company’s legal practices adhere to the highest standards of integrity and professionalism.

    Qualifications and Experience:

    • Juris Doctor (JD) degree from an accredited law school.
    • Admission to practice law in at least one US state, with the ability to obtain in-house counsel registration in other states as needed.
    • A minimum of 10-15 years of legal experience, with a significant portion of that time spent in a commercial pharmaceutical or healthcare company. Exposure to the Rare Disease space is a bonus.
    • Experience in a senior legal role with a proven track record of managing a legal department.
    • In-depth knowledge of US pharmaceutical regulations.
    • Experience working with federal and state-specific teams and regulations.
    • Strong leadership skills with the ability to manage and mentor a legal team.
    • Excellent negotiation, communication, interpersonal, and influencing skills.
    • Occasional travel to the parent company’s headquarters in Italy and other international locations as needed.
